    Abstract

    Motivation/Research Problem

    Research Objectives
    Contract interpretation is at the core of contract law. Surprisingly, however, data on macro trends in contract interpretation remain all but nonexistent. This project takes an original approach, which it calls macro contract research, to begin to fill this gap and illuminate the broad trends in contract law.
    Research Methods/Approach
    Applied cutting-edge natural language processing (NLP) techniques to computationally analyze historical trends of case law development in California and other jurisdictions • Analyzed California contract cases using Harvard CaseLaw database and AWS AI services • Developed Custom NER (Entity Recognition) with 95.9 F1 Score on legal case names using AWS AI services to extract individual, organizations and their roles
    Research Results and Deliverables
    • Individuals are parties to most of cases invoking contract canons but cases involving corporations are on the rise.
    • Textual canons have been invoked the most and are projected to dominate the case law in the future.
    • Cases involving corporations (despite their lower number) have significant relationship with highly-cited canons: §1636 (intent), §1638 (language), §1639 (writing), §1641(contract as a whole), §1644 (ordinary meaning), and §1654 (contra proferentem)
